Terms of Service
Legal agreement governing your access to and use of Black Umbrella
These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and Digital Warriors LLC ("Black Umbrella", "we", "us", "our") governing your access to and use of the Black Umbrella application, website and related services (collectively, the "App").
BY ACCESSING OR USING THE APP YOU ACCEPT AND AGREE TO THESE TERMS.
If you do not agree, do not access or use the App.
1Eligibility
You must be at least 18 years old and have the legal authority to accept these Terms.
2Accounts & Security
You agree to provide accurate information, keep login credentials confidential and notify us of any unauthorised use. You are responsible for all activity under your account.
3Connection to Meta Services
You may connect Facebook Ad Accounts, Pages and Instagram Business Accounts through Meta's OAuth flow.
You represent and warrant that you:
- Are the owner of, or have been granted at least Advertiser or Analyst access to, every Ad Account, Page or Business you connect;
- Have authority to grant Black Umbrella the Meta permissions listed in our Privacy Policy;
- Will not request that Black Umbrella perform any action that violates Meta policies, advertising laws or third-party rights.
4Licence & Intellectual Property
We grant you a limited, non-exclusive, non-transferable licence to use the App in accordance with these Terms. All intellectual property in the App remains ours or our licensors'.
5User Content
You retain ownership of content you submit but grant us a worldwide, royalty-free licence to host, display and process it to provide the Service.
5.1 Third-Party Service Providers
To operate the App, we use the following sub-processors who may access your data in accordance with our Privacy Policy:

6Prohibited Conduct
You agree not to:
- Reverse-engineer, decompile or disassemble any part of the App;
- Attempt to extract access tokens or other credentials outside of the approved OAuth flow;
- Interfere with or disrupt the App or servers;
- Upload malware or engage in scraping or automated data collection without written consent;
- Use the App in violation of any law, regulation, Meta policy or third-party right.
7Fees & Payment (if applicable)
Subscription fees are billed in advance and are non-refundable except as required by law or expressly stated. Late payments may suspend access.
8Termination
We may suspend or terminate your account immediately for breach of these Terms or applicable law. Sections that by nature should survive termination (e.g., licences, disclaimers, limitation of liability, indemnities) do survive.
9Disclaimer
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
10Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT.
11Indemnification
You will indemnify and hold harmless Digital Warriors LLC from any claim, demand, loss or damage (including reasonable attorneys' fees) arising out of:
- (a) your breach of these Terms;
- (b) your misuse of the App;
- (c) your unauthorised use of third-party Ad Accounts, Pages or data.
12Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of laws. Any dispute shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to such personal jurisdiction.
13Changes to Terms
We may update these Terms from time to time. Material changes will be notified at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
